Pipeline BDC – Terms & Conditions for Subscription Services
These Terms & Conditions (“Terms”) govern the recurring subscription services (“Services”) provided by Pipeline BDC (“Pipeline BDC,” “we,” “our,” or “us”) to the subscribing dealership or client (“Client,” “you,” or “your”). By subscribing to our Services, you agree to the following:
1. Subscription Services
Pipeline BDC provides recurring business development center (BDC) services, including but not limited to lead response, appointment setting, and customer communication, as outlined in the selected subscription plan.
2. Subscription Term & Billing
Services are billed on a recurring monthly basis, starting on the date of subscription activation.
Monthly fees are due in advance of each billing cycle and will be automatically charged to the payment method provided.
All fees are non-refundable, except as expressly provided in these Terms.
3. Right to Cancel
Either party may cancel the subscription with 30 days’ written notice.
Notice of cancellation must be provided via email to admin@pipelinebdc.com.
Services will remain active through the end of the 30-day notice period, and billing will continue for that period.
Failure to provide the required 30-day notice will result in charges for the subsequent billing cycle.
4. Changes to Subscription Plans
Clients may upgrade or downgrade their subscription plan by providing written notice.
Upgrades take effect immediately, and prorated charges may apply.
Downgrades take effect at the start of the next billing cycle.
5. Client Responsibilities
Provide accurate dealership contact information, operating hours, and lead source details.
Ensure Pipeline BDC is granted necessary access to CRM/DMS platforms or lead sources for proper service delivery.
Respond promptly to communications regarding account setup, reporting, and service adjustments.
Respond promptly to requests for videos and photos, information, and finance information as needed and within the required timeframe to keep the appropriate customer communication timeline.
6. Pipeline BDC Responsibilities
Deliver Services in alignment with the selected subscription plan.
Respond to leads during the Client’s designated operating hours, unless otherwise agreed.
Provide regular reporting and updates on appointment-setting performance.
7. Limitation of Liability
Pipeline BDC shall not be liable for indirect, incidental, or consequential damages. Our total liability for any claim related to the Services shall not exceed the total fees paid by the Client in the one (1) month prior to the claim.
8. Confidentiality & Data Protection
Pipeline BDC will maintain the confidentiality of Client data and customer information.
Both parties agree not to disclose confidential information to third parties without written consent.
Pipeline BDC will take reasonable measures to protect customer data in compliance with applicable laws.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of South Dakota (State of Incorporation), without regard to its conflict of laws principles.
10. Modifications to Terms
Pipeline BDC reserves the right to update or modify these Terms at any time. Clients will be notified of material changes in advance, and continued use of Services constitutes acceptance of revised Terms.
11. Entire Agreement
These Terms, along with the Client’s subscription order, constitute the entire agreement between the parties and supersede all prior communications or agreements.
By subscribing to Pipeline BDC’s Services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.
